Acceptance of Terms

By accessing or using the VoxMagna platform ("Service"), including by creating an account, you ("User", "you") confirm that you have read, understood, and agree to be bound by these Terms of Service ("Terms") and our Privacy Policy.

If you are accepting these Terms on behalf of a company or legal entity, you represent that you have the authority to bind that entity. These Terms take effect on the date you first access the Service.

Users who do not agree to these Terms must not use the Service. Continued use of the Service after any modification to the Terms constitutes acceptance of the amended Terms.

Definitions

• "VoxMagna" (also "we", "us", "our") refers to the company operating this platform, registered in the United Arab Emirates.
• "Service" means the VoxMagna web application, APIs, and all related software and features.
• "User" means any person who creates an account or accesses the Service.
• "Content" means text, data, or other material generated or published through the Service.
• "Credits" means the digital units used to perform AI-powered actions within the Service.
• "X / Twitter" refers to the social media platform operated by X Corp.
• "Bot" refers to the automated reply or posting functionality provided by the Service.

Service Description

VoxMagna provides an AI-powered automation platform that enables Users to:

• Automatically generate and post replies to tweets on X (Twitter) based on keyword monitoring.
• Schedule and automatically publish original tweets using AI-generated content.
• Manage multiple X accounts from a single dashboard.
• Generate post ideas and content suggestions using artificial intelligence.
• Search for and quote viral tweets to boost engagement.
• Analyze competitor accounts and identify content gaps.
• Monitor specific X profiles and auto-reply to their posts.
• Follow and rewrite content from source accounts (ghost writer).
• Use an AI assistant (Master AI) for account management and strategy.
• Track performance analytics for automated actions.

The Service operates on a subscription and credit-based model. Users receive a monthly credit allowance based on their plan, and may purchase additional credits. AI actions (replies, posts, ideas, analyses) consume credits.

The Service relies on third-party platforms including X (Twitter) and xAI. We do not guarantee continuous availability of features that depend on these third-party services.

Account Registration

To use the Service, you must create an account by providing a valid email address and password. You must:

• Be at least 18 years of age.
• Provide accurate, current, and complete registration information.
• Maintain the security and confidentiality of your account credentials.
• Notify us immediately of any unauthorized access or breach of security.
• Not share your account with any third party.

You are solely responsible for all activity that occurs under your account. VoxMagna reserves the right to refuse registration or cancel accounts at its discretion.

User Obligations

By using the Service, you agree to comply with:

• The X (Twitter) Terms of Service and Developer Agreement at all times.
• All applicable laws of the United Arab Emirates, including Federal Law No. 5 of 2012 (Combating Cybercrimes) and Federal Decree-Law No. 34 of 2021 (Combating Rumours and Cybercrime).
• These Terms and any additional policies published by VoxMagna.

You are solely responsible for the content generated, posted, or scheduled through the Service using your account. VoxMagna provides AI tools but does not review or approve individual pieces of AI-generated content before publication.

Payment Terms

Paid subscription plans are billed in advance on a monthly or annual basis in United States Dollars (USD). All prices are listed on the Pricing page.

Payments are processed by our payment provider (Paddle). By subscribing, you authorize recurring charges to your payment method. You represent that you are authorized to use the payment method provided.

Taxes: VoxMagna may be required to collect VAT, GST, or other taxes depending on your jurisdiction. Any applicable taxes will be displayed at checkout and added to the total amount charged.

Failed payments: If a payment fails, access to paid features may be suspended until payment is successfully collected. We will make reasonable efforts to notify you of payment failures.

Credits System

Credits are consumed when the Service performs AI-powered actions:

• 1 credit: AI-generated reply to a tweet.
• 2 credits: AI-generated original post.
• 3 credits: Generate a batch of post ideas.
• 2 credits: Quote tweet.
• 1 credit: Competitor analysis.
• 5 credits: AI image generation.

Monthly plan credits refresh at the start of each billing cycle. Unused plan credits on paid plans roll over to the following month. Credits from one-time packs do not expire while your account is active.

Credits are non-transferable between accounts and have no cash value. Credits are forfeited upon account termination unless a refund is applicable under our Refund Policy.

Intellectual Property

Our platform: All software, designs, trademarks, and proprietary technology constituting the VoxMagna platform are owned by VoxMagna and protected under applicable intellectual property laws. You receive a limited, non-exclusive, non-transferable licence to use the Service solely for your personal or business purposes as permitted by these Terms.

AI-generated content: You retain ownership of the content you publish through the Service. By using the Service, you grant VoxMagna a non-exclusive, royalty-free licence to process your input data to deliver the Service.

Your input: You warrant that your use of the Service does not infringe the intellectual property rights of any third party.

Prohibited Uses

You must not use the Service to:

• Violate any applicable law or regulation, including UAE federal or emirate-level legislation.
• Post content that is defamatory, harassing, hateful, obscene, or otherwise objectionable.
• Spread disinformation, fake news, or manipulate public opinion in violation of UAE law.
• Infringe the intellectual property rights of third parties.
• Conduct spam campaigns, mass-reply operations, or send unsolicited commercial communications.
• Include promotional links, affiliate URLs, or any external website links in automated replies. Automated replies must not be used to drive traffic to external sites.
• Use automated replies or posts to advertise, promote, or solicit products and services.
• Use the Service in a way that violates X (Twitter)'s Terms of Service or Developer Agreement.
• Attempt to reverse-engineer, decompile, or disassemble any part of the Service.
• Interfere with or disrupt the integrity or performance of the Service.
• Access the Service through automated means except through our published APIs.
• Impersonate another person or entity, or misrepresent your affiliation.
• Use the Service to facilitate market manipulation, pump-and-dump schemes, or other fraudulent financial activities.

Violation of these prohibitions may result in immediate account suspension and may be reported to relevant UAE authorities.

Limitation of Liability

The Service is provided "as is" and "as available" without warranty of any kind. To the maximum extent permitted by UAE law, VoxMagna disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

VoxMagna shall not be liable for:

• Suspension or termination of your X account by X Corp due to your use of our Service.
• Loss of followers, reach, engagement, or revenue arising from automated actions.
• Inaccuracy or inappropriateness of AI-generated content.
• Service interruptions caused by third-party platforms (X, Apify, Anthropic, Paddle).
• Indirect, incidental, consequential, or punitive damages.

To the extent liability cannot be excluded under UAE law, VoxMagna's total aggregate liability shall not exceed the amounts paid by you for the Service in the three (3) months preceding the claim.

Termination

By you: You may cancel your subscription and delete your account at any time from the account settings or by contacting us. Cancellation takes effect at the end of the current billing cycle.

By us: VoxMagna reserves the right to suspend or terminate your account immediately, without notice, if you breach these Terms or if we are required to do so by law or regulatory authority. In cases of termination for cause, no refund will be issued.

Upon termination, your right to use the Service ceases immediately. We may retain certain data as required by law or for legitimate business purposes, as detailed in our Privacy Policy.

Changes to Terms

VoxMagna reserves the right to modify these Terms at any time. Material changes will be notified to registered users by email at least 14 days before taking effect. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

If you do not agree to the revised Terms, you must cease using the Service and may request account deletion.

Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of the United Arab Emirates, including Federal Law No. 1 of 2006 on Electronic Commerce and Transactions and Federal Law No. 5 of 2012 on Combating Cybercrimes, as amended.

Any dispute, controversy, or claim arising out of or in connection with these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of the Emirate of Dubai, UAE.

You agree to attempt to resolve disputes informally by contacting us first. We will make reasonable efforts to resolve disputes within 30 days of receiving written notice.
